1. Definitions and Interpretation
In this Agreement, unless the context otherwise requires, the following terms shall have the meanings set out below:
"Agreement" means this service agreement including any schedules and annexes.
"Services" means the services described in Clause 2.
"Fees" means the fees payable by the Client as set out in Clause 3.
2. Scope of Services
The Supplier shall provide the Services to the Client as described in the scope of work appended to this Agreement. The Supplier shall perform the Services with reasonable care and skill and in accordance with generally recognised commercial practices and standards.
3. Fees and Payment
The Client shall pay the Fees to the Supplier in accordance with the payment schedule set out herein. The Supplier shall invoice the Client at the intervals specified, and payment shall be due within 30 days of the date of each invoice...
